I've said it a million times, but I guess no one is really listening. Link trades have a better chance of working when the link goes on a directory with clear title tags and is organized by subject.
Search engines keep getting more and more particular and webmasters are getting more and more sloppy. I get link requests from people that have directories with no design, title tags, or categorization at all. I've been swamped with link trades for sites that have nothing but a white page with 500 links pasted on them. It's worthless. Make a good directory that's worth something to a visitor so even if Google or whoever doesn't appreciate it your visitors will. Your link trading partner will be happy too to get the targeted traffic. Here's a good website directory script that will help you manage links efficiently.
